Last Thursday’s (Mar 15 2007) papers carried a short story on the court’s dismissal of all charges against former HP Board chair Patricia Dunn.
As usual, they missed the real story, which has several parts. First, why isn’t George Keyworthy, another HP board member, in jail, or at least facing civil charges? He routinely leaked confidential information from HP board meetings, and has admitted it. His behavior is extremely unethical.
Second, Tony Perkins, a VC and HP board member, managed to get himself a puff-piece story in Fortune about his "noble" role in the whole matter. He’s as noble as my foot. In the post-Enron world, we’ve placed new emphasis on corporate governance - board chairs are expected to make sure, first and foremost, that the company is being honestly and ethically run. Day-to-day management is left to the CEO - hence the "E" in the title. Ms Dunn, by all accounts (including Mr Perkins’) was diligent about crossing T’s and dotting I’s. While such matters and not a board chair’s only concerns, they surely rank high on the list. We’ve learned _someone_ has to keep an eye on this stuff.
Ms Dunn went after her board’s leaker, and caught him. Good for her! I have NO objection the the level of scrutiny applied to board members. They hold a position of trust, and must expect and accept a greater level of scrutiny. In addition, Keyworthy failed a basic intelligence test - why didn’t he use a phone that would not be so easily traced to him for his illegal activities? He’s dishonest and stupid.
So, to summarize: Patty goes free - God bless you, Patty, and I hope you stay well and healthy. Fortune, along with the rest of the MSM, proves itself a patsy when it comes to real reporting. It’s "People" magazine for the corporate set. And George Keyworthy (like Lon Horiuchi) is still walking around, unscathed.
